Overview

Udyam Registration is the Government of India's official recognition for Micro, Small and Medium Enterprises (MSMEs). Launched on 1 July 2020, it replaced the older Udyog Aadhaar and EM-II systems with a single, paperless registration on the Udyam portal. It is free and self-declaration based, needing only your PAN and Aadhaar, and the Udyam Registration Number and e-certificate are generated in real time once your OTP and details are validated. For an enterprise that already has filings, the portal links your investment and turnover to your ITR and GST records; a brand-new enterprise with no return filed yet simply self-declares these figures for its first year, after which the auto-linked data governs classification.

It suits anyone manufacturing goods or providing services within the size limits, proprietorships, partnerships, LLPs, companies, one-person companies, HUFs, co-operatives, societies, trusts and eligible traders. Because classification is composite, driven by both your investment in plant, machinery or equipment and your annual turnover, the details you declare decide your category and the benefits you can claim. A wrong NIC code, a mismatch with your ITR or GST filings, or duplicate registrations against one PAN can cause mis-classification or lost benefits, so getting it right the first time matters.

    A valid Udyam registration opens credit guaranteed under the Credit Guarantee Fund Trust for Micro and Small Enterprises (CGTMSE), so eligible enterprises can borrow working capital and term loans without collateral or third-party guarantees, a real lifeline for asset-light founders.

    Priority-sector lending and interest support

    Loans to registered MSMEs count towards banks' priority-sector lending targets under Reserve Bank of India norms, which nudges lenders to extend credit and often means faster credit decisions and finer pricing. This is the standing benefit of registration. On top of it, MSMEs can tap interest-subvention or interest-support benefits whenever a specific central or state scheme is live and notified, rather than as an automatic, permanent entitlement of being registered.

    Protection against delayed payments

    Under the MSMED Act, 2006, a buyer must pay a registered micro or small enterprise within 15 days where there is no written agreement, or within the period agreed in writing, which can in no case exceed 45 days from the day of acceptance or deemed acceptance of the goods or services. If a buyer overshoots, interest runs under Section 16 at three times the bank rate notified by the RBI, compounded with monthly rests, and the MSME Samadhaan portal lets you file to recover the principal with that interest, a valuable, under-used protection when supplying large corporates.

    Preference in government tenders

    Registered MSMEs get procurement relaxations, exemption from Earnest Money Deposit, waiver of prior turnover and experience conditions, and reserved targets for micro and small suppliers in government and PSU tenders.

    Enterprises can also tap central and state incentives, capital and technology-upgradation subsidies, ISO, patent and trademark fee reimbursements, electricity duty concessions and marketing support, with one registration as eligibility proof.

Eligibility

Who it's for.

  • Any enterprise engaged in manufacturing, processing or the provision of services can register, proprietorships, partnerships, LLPs, companies, HUFs, co-operatives, societies and trusts are all eligible.
  • Classification, as revised with effect from 1 April 2025, is composite, you must meet both limits for a category: Micro is investment up to Rs 2.5 crore and turnover up to Rs 10 crore.
  • Small is investment up to Rs 25 crore and turnover up to Rs 100 crore, Medium is up to Rs 125 crore and Rs 500 crore.
  • If either investment or turnover crosses a ceiling the enterprise moves up a category, stepping down only when it falls below both limits of the lower category.
  • PAN and Aadhaar are mandatory, the Aadhaar being that of the proprietor, managing partner, karta or an authorised signatory for companies, LLPs, societies and trusts.
  • Wholesale and retail traders are eligible (with effect from July 2021) for the limited purpose of priority-sector lending benefits.
  • Export turnover is excluded when calculating the turnover limit, helping export-oriented units keep a lower classification.

The process

How it works, step by step.

  1. Step 01

    Consultation and eligibility check

    We assess your activity, constitution and size to confirm the likely MSME category under the composite criteria, and flag whether an earlier Udyog Aadhaar or Udyam registration must be migrated or cancelled.

  2. Step 02

    Data and detail collection

    Aadhaar and PAN validation

    The authorised person's Aadhaar is validated by an OTP to the linked mobile, followed by PAN validation, authenticating the applicant and linking the registration to the enterprise.

  4. Step 04

    Auto-fetch of investment and turnover

    For an enterprise with prior filings, the portal pulls investment and turnover from your Income Tax and GST systems, so classification reflects your actual returns; we reconcile these beforehand so the category holds no surprises. A newly set-up enterprise with no ITR or GST return yet classifies on self-declaration for its first year, and the auto-linked figures take over once the first ITR is filed.

  5. Step 05

    Filling and self-declaration

    We complete the enterprise details, NIC codes, employee count, addresses and bank particulars and submit the self-declaration; no documents are uploaded, as the process is entirely paperless.

  6. Step 06

    Final verification and submission

    A final OTP confirms the application before processing, and we review every field against your records first to reduce the risk of a query or correction.

  7. Step 07

    Issue of number and certificate

    On successful validation the portal generates a permanent Udyam Registration Number and an e-certificate with a QR code in real time, which we hand over with guidance on claiming benefits.

Timeline & cost

What to expect.

Udyam is one of the quickest registrations in India. Where your PAN, Aadhaar and GST records are consistent, the application can usually be prepared and submitted the same day, and the Udyam Registration Number and e-certificate are normally generated immediately on successful submission and OTP validation, subject to government processing. Only occasionally is there a short delay, typically where PAN or GST data needs to be validated, figures reconciled, or an old Udyog Aadhaar migrated first.

The Government of India charges no fee for Udyam Registration, the portal is free and no statutory charge applies. Several look-alike websites impersonate the portal and levy charges for a service that is free at source, so treat any government fee demand for Udyam itself as a red flag.

What you pay a professional is only a transparent advisory and filing fee, quoted and confirmed upfront and separate from any statutory cost (which for Udyam is nil). The fee depends on your constitution type and whether migration, correction or allied services like GST are involved, and you always know the amount before work begins.

The nuance founders get wrong: one Udyam per PAN, and your filings set the category

A costly mistake is treating Udyam as a one-time form, or filing separate registrations for each activity or location. The rule is one Udyam Registration per enterprise, tied to a single PAN, and all activities, manufacturing or services, must be clubbed under it. Founders who create duplicates often face confusion at the bank or during tender scrutiny and must consolidate later.

Classification is the second trap. Because the portal links investment and turnover to your ITR and GST filings, your category is effectively decided by what you declare to the tax authorities, not what you type into the form, so inconsistent returns can shift your classification (a brand-new enterprise self-declares in year one, until its first ITR is filed, after which the auto-linked figures govern). It is also graded and export turnover is excluded, you move up if either figure crosses the ceiling (limits as revised with effect from 1 April 2025) but down only when both fall below the lower category's limits.

Is Udyam Registration free?+

Yes. The government charges nothing for Udyam Registration on the official portal, and no statutory fee applies. Any site demanding a government fee for Udyam itself is not the official portal, so be cautious, though a professional may charge a separate advisory and filing fee.

What is the difference between MSME registration and Udyam Registration?+

They are the same. MSME registration is the common name, while Udyam Registration is the official process on the Udyam portal that replaced Udyog Aadhaar and EM-II from 1 July 2020.

Is GST registration mandatory for Udyam?+

GST is needed only where your enterprise must register under GST law, otherwise it is not mandatory for Udyam. PAN is mandatory, and any GSTIN you hold must be provided so the portal can auto-fetch turnover.

What are the new MSME classification limits?+

Do I need to renew my Udyam Registration?+

No. The Udyam Registration Number is permanent and does not expire. Your investment and turnover update automatically each year from your ITR and GST filings; just keep other details like address, activity and bank particulars current.

What if my business grows beyond the Micro or Small limit?+

If either investment or turnover crosses your ceiling, the portal re-classifies your enterprise into the next category and some size-linked benefits may change. You move down only when both figures fall below the lower category's limits, so plan growth with the thresholds in mind.
